Company formation in Saudi Arabia is now an online process that starts and ends on the Saudi Business Center platform (business.sa). You choose the entity type, enter the partners, activities and articles of association, pay the fees, and the commercial registration (CR) is usually issued the same day. The CR, however, is the starting line rather than the finish.
After the CR comes a stage that matters just as much: completing your ZATCA registration, enrolling staff with GOSI, documenting contracts on Qiwa, uploading payroll files to Mudad, and issuing a compliant first e-invoice. Many new business owners get through the CR easily and then stumble here.
This guide covers how to start a business in Saudi Arabia briefly, then focuses on what to set up after registration. Fees quoted come from Ministry of Commerce service pages at the time of writing; the final amount appears on the invoice before you pay.
What You Need Before Starting a Company in Saudi Arabia
You need a Nafath (National Single Sign-On) account, partners who meet the legal conditions, a defined activity and a business address. The platform asks for these on its first screens.
The Ministry of Commerce requires each partner to be at least 18 years old and not a government employee. A corporate partner’s CR must be active, not suspended or cancelled. If the activity needs a licence before registration, for example activities licensed by the Saudi Central Bank, the licence or preliminary approval must be attached.
- Partner identification: national ID or iqama, plus a guardianship deed if a partner is a minor.
- Business activities: chosen from the approved activity list, stating whether the business will sell online.
- Manager details: the person who will run the company and sign on its behalf with banks and government bodies.
- Foreign partners: a non-Saudi partner needs a valid investment licence or registration certificate from the Ministry of Investment (MISA) first.
Choosing the Entity: Sole Establishment, LLC or One-Person Company
The key difference is liability. A sole establishment has no financial identity separate from its owner, while in a limited liability company (LLC) each partner’s liability is limited to their share of the capital. A one-person company is not a separate legal form; it is an LLC with a single owner.
The Companies Law that took effect on 19 January 2023 allows a company to be formed by one person and recognises five company forms: general partnership, limited partnership, joint stock company, simplified joint stock company and LLC. Most small businesses choose between a sole establishment and an LLC in Saudi Arabia.
| Item | Sole establishment | LLC (one or more partners) |
|---|---|---|
| Financial identity | Not separate from the owner | Separate from the partners |
| Liability for debts | The owner, from personal assets | Limited to each partner’s capital share |
| Number of owners | One person | One or more |
| Articles of association | Not required | Required, even with a single owner |
| CR fee at issuance | SAR 500 | SAR 1,200 + SAR 500 publication + 15% VAT |
| Annual CR confirmation | SAR 500 | SAR 1,200 |
The figures above are taken from the Ministry of Commerce service pages, such as the Establish a Limited Liability Company service. They exclude Chamber of Commerce membership and activity-specific licences, which vary from case to case.
Company Formation Steps Through the Saudi Business Center
Every step happens online: choose the trade name, enter the articles of association, then pay and receive the CR. The Ministry lists LLC formation as immediate once all parties approve.
Reserving the Trade Name
You can reserve a trade name in advance. The reservation service protects the name for 60 days until the CR is issued, and the reservation can be extended. Under the new Trade Names Law the name must be distinct from existing names, and nobody may use a name reserved by someone else without consent.
Articles of Association
On the platform you enter the company’s duration, head office, activities and objectives, followed by partner, management and contract details. The Companies Law requires an LLC owned by a single person to have articles of association as well. Once complete, the application goes to the other partners for electronic approval.
Issuing the Commercial Registration
After approval, an invoice is issued and paid through SADAD or card; the CR is then recorded and the articles are published. Under the Commercial Register Law applied since April 2025, a CR no longer expires, but its data must be confirmed every year. If the confirmation is not filed within 90 days of its due date, the CR and its linked services are suspended.
Government Registrations After the Commercial Registration
Issuing the CR automatically opens files for the business with the Ministry of Human Resources, ZATCA, GOSI, the national address service and the Chamber of Commerce. An automatic file is not a finished one: you still need to complete the data and activate your account on each platform.
ZATCA
After Ministry of Commerce registration, the business receives a unique taxpayer number; the owner then logs in to the ZATCA portal and completes the zakat or income tax registration form. Zakat returns are due within 120 days of the end of the zakat year.
VAT registration is mandatory once taxable revenue exceeds SAR 375,000 a year and optional between SAR 187,500 and SAR 375,000. The VAT Implementing Regulations require you to apply within 30 days of the end of the month in which revenue crossed the mandatory threshold.

GOSI
The business is registered with the General Organization for Social Insurance automatically with the CR, and each employee is then registered on hiring. The employer pays the occupational hazards contribution of 2% of the contributory wage for every employee, Saudi or non-Saudi. Saudi employees have additional contributions shared between employer and employee under the law that applies to them.
Contributions are due within the first 15 days of the following month, and late payment attracts a fine.
Qiwa and Mudad
Qiwa is the business’s gateway to the Ministry of Human Resources, where employment contracts are created and documented: the employer enters the contract and sends it to the employee, and once both agree the contract is certified. Mudad is where monthly payroll files are uploaded under the Wage Protection Program, and the business sees its compliance rate as soon as the file is processed.
If salaries live in a separate spreadsheet, mismatches between contracts, GOSI and Mudad soon show in your compliance rate. The Daysum HR and attendance system keeps attendance and payroll calculation in one place.

Setting up Accounting and E-Invoicing from Day One
The best time to set up your accounting system is before the first sale, not after the first tax return. Any VAT-registered business has been required to issue e-invoices since phase one took effect on 4 December 2021, and handwritten invoices are no longer accepted.
Phase two (integration with the Fatoora platform) is rolled out in waves set by ZATCA. In wave 25, ZATCA targeted taxpayers whose VAT-subject revenue exceeded SAR 187,500 in any year from 2022 to 2025, with integration due by 1 February 2027. A new business is better off starting with a system that is ready to integrate.
| What to set up | Why you need it from the start |
|---|---|
| Chart of accounts | Defines how revenue, expenses and formation costs are recorded from the first entry |
| VAT settings | Applies 15% on each invoice and collects return data automatically |
| E-invoicing | Invoices that meet ZATCA requirements and are ready for phase two integration |
| Business bank account | Keeps company money apart from personal accounts and makes bank reconciliation possible |
| Payroll and attendance | Salaries that match contracts and GOSI, ready for the wage protection file |
Example: a service sold for SAR 10,000 before tax is invoiced at SAR 11,500, and the SAR 1,500 output VAT goes to VAT payable, not revenue. Without that split from day one, the VAT return becomes manual work.
The Daysum cloud ERP, built on Odoo, brings accounting, inventory, POS and HR into one system, with ZATCA-approved phase two e-invoicing. Businesses selling on Salla can use the Daysum app, which carries orders into accounting and on to ZATCA. For the regulatory detail, see our guide to ZATCA phase 2 e-invoicing in Saudi Arabia.

FAQs About Company Formation in Saudi Arabia
The Ministry of Commerce service page for forming an LLC lists SAR 1,200 for the commercial registration and SAR 500 for publishing the articles, plus 15% VAT. Chamber of Commerce membership and any activity licences come on top and vary between businesses. The final amount appears on the invoice before payment.
A one-person company is an LLC with a single owner and is formed through the same Saudi Business Center service. The LLC fees on the service page therefore apply: SAR 1,200 for the CR and SAR 500 for publication, plus VAT. The CR data must then be confirmed every year, for which the LLC fee is SAR 1,200.
It is the law issued by Royal Decree No. M/132, in force since 19 January 2023. It allows a company to be formed by one person and recognises five company forms, including the LLC and the simplified joint stock company. Existing companies were given two years to bring themselves in line with it.
The founder must be at least 18, must not be a government employee, and must attach any licence the activity requires before registration. The company needs articles of association even with a single owner. If the owner is a legal entity, its own CR must be active.
Yes, but a non-Saudi partner needs a valid investment licence or registration certificate from the Ministry of Investment before forming or joining a company. Requirements differ by activity and ownership share. Foreign investors therefore start on the MISA platform and then move to the commercial registration steps.
